Terms of Service

1. Acceptance of Terms

By accessing or using the Qmodi platform, website, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and QMODI INC, a Nevada limited liability company (“Qmodi,” “we,” “our,” or “us”).

2. Description of Service

Qmodi is a transportation management system (TMS) platform that enables companies in the transportation industry to manage their operations. The Service includes, but is not limited to:

  • Transportation management and operations tools for companies
  • Text messaging and phone call management through the platform
  • Motor carrier reference data and FMCSA compliance information
  • Fleet and driver management tools
  • Job board for commercial truck drivers
  • Communication tools between companies, drivers, and brokers

3. SMS/Text Messaging Terms

By using the Service, you may receive text messages from QMODI INC, including but not limited to one-time passcode (OTP) verification codes for login, account notifications, system alerts, job application communications, and service-related updates.

  • Consent: By creating an account and providing your phone number or using OTP-based login, you expressly consent to receive text messages from QMODI INC related to your account and use of the Service. By submitting a job application and opting into text message contact, you expressly consent to be contacted by QMODI INC via SMS regarding your job application, including application status updates and employer communications.
  • Message Frequency: Message frequency varies based on your usage of the Service (e.g., each login attempt triggers an OTP message). Job application messages are sent as needed based on application status changes.
  • Message & Data Rates: Message and data rates may apply. Please contact your wireless carrier for details about your text messaging plan.
  • Opt-Out: You may opt out of receiving text messages at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any message you receive from us. After opting out, you will receive one final confirmation message. Please note that opting out of OTP messages may prevent you from logging into your account.
  • Help: For help, reply HELP to any message or contact us at support@qmodi.com.
  • Carrier Liability: Carriers (e.g., T-Mobile) are not liable for delayed or undelivered messages.
  • Privacy: Your mobile information, including SMS originator opt-in data and consent, will not be shared with or sold to third parties or affiliates for marketing or promotional purposes. Information sharing is limited to service delivery as described in our Privacy Policy.
  • Consent Not a Condition of Purchase or Employment: Consent to receive SMS messages is not a condition of purchasing any goods or services from QMODI INC, or as a condition of employment. OTP verification is required for account security.
  • Revocation: You may revoke your consent to receive text messages at any time by contacting us at support@qmodi.com or by texting STOP.

4. User Accounts

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Company Accounts

Companies using the Service are responsible for their employees' and agents' compliance with these Terms. The individual creating a company account represents and warrants that they have the authority to bind the company to these Terms. Companies are solely responsible for:

  • Managing their own telephony credentials and integrations
  • Ensuring compliance with all applicable telecommunications regulations
  • Obtaining proper consent from recipients before sending messages through the platform
  • All costs and fees associated with their telephony providers

6. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations
  • Send unsolicited, spam, or bulk messages through the platform
  • Post false, misleading, or defamatory content
  • Harass, abuse, or harm other users
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with the proper functioning of the Service
  • Use the Service to violate any applicable laws or regulations, including TCPA, CAN-SPAM, or FMCSA regulations

7. Intellectual Property

The Service and its original content, features, and functionality are owned by QMODI INC and are protected by international copyright, trademark, and other intellectual property laws.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QMODI INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION.

10. Indemnification

You agree to indemnify and hold harmless QMODI INC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting a notice on the Service or sending notification to your registered email address. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

12. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Carson City, Nevada.
